Choosing the legal form is one of the first and most important decisions when creating a business in Uzbekistan. The legislation provides several main forms: limited liability company (LLC), joint-stock company (JSC), sole proprietor (SP), as well as partnerships and cooperatives.
LLC is the most common form for small and medium businesses. Founders are liable for company obligations only within their contributions, limiting personal financial risks. The minimum authorized fund is 40 BCV.
JSC is chosen by companies planning to attract investment through share issuance. SP is suitable for freelancers and microbusinesses with turnover below the established limit, featuring a simplified tax regime and minimal reporting.
